CSRise Technology Ltd — Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the CSRise platform (the "Platform"), operated by CSRise Technology Ltd ("CSRise", "we", "us", or "our"). By creating an account, making a donation, launching a campaign, or otherwise using the Platform, you ("User") agree to be bound by these Terms, our Acceptable Use Policy, and our Privacy Policy, which are incorporated by reference. If you do not agree, you must not use the Platform.

2. Description of Service

CSRise operates a CSR (Corporate Social Responsibility) crowdfunding platform that connects donors with campaign organisers (individuals, NGOs, and corporates) raising funds for social impact projects across education, healthcare, community development, and related causes. CSRise facilitates the collection and disbursement of donations but is not a party to, and does not guarantee, any campaign, cause, or the conduct of any organiser or donor.

3. Eligibility and Account Registration

  • You must be at least 18 years old, or a duly authorised representative of a registered organisation, to create an account.
  • You agree to provide accurate and complete information during registration and to keep it up to date.
  • Campaign organisers must complete CSRise's verification process, which may include identity checks, document review, and bank account confirmation, before they are eligible to receive disbursed funds.
  • You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

4. Donations

  • Donations are made voluntarily by donors to support a specific campaign listed on the Platform.
  • Payments are processed by our third-party payment processor, Paystack. CSRise does not directly store your full card or bank account details.
  • Donations are held in CSRise's pooled account and tracked internally against the relevant campaign's ledger until disbursed to the organiser in accordance with these Terms.
  • CSRise may charge a platform fee on donations or disbursements, as disclosed on the Platform at the time of donation.

5. Campaigns and Fund Disbursement

  • Campaign organisers are solely responsible for the accuracy of their campaign description, the intended use of funds, and compliance with applicable law.
  • Where a campaign is structured into milestones, disbursement of the corresponding funds requires the organiser to submit proof of work or completion, subject to CSRise's review and approval.
  • CSRise reviews withdrawal requests using automated risk-scoring and, where applicable, manual review, and may place a hold on funds pending further verification.
  • CSRise reserves the right to decline, delay, or reverse a disbursement where fraud, misrepresentation, or a violation of our Acceptable Use Policy is suspected.

6. Refunds and Disputes

Donors may request a refund only where a campaign has not yet commenced (i.e., no funds have been disbursed and activity has not begun on the project). Once a project has started, donations are non-refundable, except where CSRise, at its sole discretion, determines that a refund is warranted due to fraud, misrepresentation, or a material breach of our Acceptable Use Policy by the organiser. Disputes may be raised through CSRise's in-platform dispute system and are reviewed by CSRise administrators, who may take remedial action against an organiser but do not thereby guarantee a refund once a project is underway. Where a campaign fails to meet its funding deadline or stated conditions, donors may be automatically refunded in accordance with the applicable campaign terms.

7. Prohibited Conduct

Use of the Platform is subject to our Acceptable Use Policy, which prohibits fraudulent campaigns, misrepresentation of the use of funds, money laundering or terrorism financing, submission of false documentation, and other conduct that undermines the integrity of the Platform. Violation of the Acceptable Use Policy may result in suspension or termination of your account, removal of a campaign, and/or a hold or reversal of funds.

8. Monitoring and Compliance

CSRise employs automated fraud-risk scoring, transaction velocity checks, and manual review processes to detect and prevent misuse of the Platform. CSRise may request additional information or documentation from any User at any time, suspend access pending review, and report suspected unlawful activity to relevant regulators, law enforcement, or payment partners, including Paystack.

9. Intellectual Property

The Platform, including its design, text, graphics, logos, and underlying software, is owned by or licensed to CSRise and is protected by applicable intellectual property laws. Users retain ownership of content they submit (such as campaign descriptions and images) but grant CSRise a non-exclusive, royalty-free licence to display and use that content in connection with operating and promoting the Platform.

10. Disclaimers

CSRise provides the Platform on an "as is" and "as available" basis. CSRise does not guarantee the outcome, legitimacy, or success of any campaign, and does not endorse any organiser, cause, or donor. While CSRise operates verification and fraud-monitoring processes, it cannot guarantee that all campaigns or Users are free of fraud or misrepresentation, and donors are encouraged to exercise their own judgment before donating.

11. Limitation of Liability

To the fullest extent permitted by applicable law, CSRise shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Platform, your reliance on any campaign information, or the conduct of any other User. CSRise's total liability for any claim arising from these Terms or your use of the Platform shall not exceed the amount of fees paid by you to CSRise in the twelve (12) months preceding the claim, where applicable.

12. Termination

CSRise may suspend or terminate your access to the Platform at any time, with or without notice, where we reasonably believe you have violated these Terms, our Acceptable Use Policy, or applicable law. You may close your account at any time by contacting us, subject to the completion of any pending transactions or obligations.

13. Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria. Any dispute arising from these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts of Nigeria, unless otherwise required by applicable law.

14. Changes to These Terms

CSRise may update these Terms from time to time to reflect changes in our services, legal or regulatory requirements, or industry practice. We will post the updated Terms on the Platform with a revised effective date. Continued use of the Platform after changes take effect constitutes acceptance of the updated Terms.
